ARTICLE I
ORGANIZATION
The
organization hereafter constituted shall be known as the Northeast Regional
Association of the United States of America Roller Sports and hereafter
referred as the NE USARS.
The
NE USARS will be comprised of the states of Maine, Vermont, New Hampshire,
Massachusetts, Rhode Island, Connecticut, and New York.
ARTICLE II
OBJECTIVES
1.
To
advance and improve the sport of competitive roller skating under the
organization of the United States of America Roller Sports (USARS)
2.
To
act on all sanction applications for all contests within the boundaries of the
Northeast Region in accordance with the authority vested in the body by the parent
USARS Board of Directors.
3.
To
assist individuals in the formation of roller skating clubs and their
activities, and assist in the training and education of its members in all
aspects of the sport of roller skating.
4.
To
serve as representative of USARS Board of Directors, if so appointed, and to
arbitrate, investigate, make recommendations and find solutions to regional
problems.
5.
NE
USARS shall sponsor, prepare for, and conduct regional championship
competitions. The officers of NE USARS shall select qualified officials for
regional championships. NE USARS shall work with the host operator(s) within
the guidelines set forth per the regional bid form. Each federation is
responsible for operating its own regional championship, in coordination with
the regional chairperson.
6.
NE
USARS shall receive bids on facilities available for the regional
championships; hold meetings to report to the body on such facilities and to
vote on regional championship sites at the annual meeting. The NE USARS must
give a 30-day advance notice to all member clubs within the region when a
meeting is to be held to approve regional sites.
7.
NE
USARS shall set requirements governing the regulation and conduct of
competitive skating events within the region as set down by the USARS by-laws
and rules.

ARTICLE III
MEMBERSHIP
1.
Membership
in the Northeast Region shall be restricted to current clubs registered with
USARS and within the boundaries of the NE Regional states.
2.
Northeast
Region member clubs shall be represented by their current president, vice
president (as elected by the club at an annual meeting), or secretary/treasurer
at any regular or special meeting and shall enjoy voice and equal vote in
affairs of the region.
3.
Each
president, vice president, or secretary/treasurer of a USARS registered club
must be in possession of a current valid amateur card or coaches card in any
one of the recognized disciplines.
4.
Each
member club shall cast one vote in regional affairs and the vote must be made
in person. If the president is not able to attend he/she must designate in
writing that the vice president (with proper documentation of being elected in
an annual club meeting) or the secretary/treasurer may vote on all affairs to
be voted on at a meeting. This vote is contingent, as per the USARS by-laws,
that the club must have a minimum of 5 registered
qualified amateur memberships.
5.
All
USARS sanctioned clubs within the region are to be accepted as members of the
NE USARS should they petition to join. NE USARS shall collect $30 association
dues per year per club and are due by the first meeting of the year. Invoices
shall be mailed with the fall meeting notice. These dues shall be used to
defray costs of running the association during the year.
ARTICLE IV
MEETINGS
1.
NE
USARS shall conduct a minimum of one meeting annually, and preferably should
conduct meetings semi-annually.
2.
Any
regular meeting shall be given at least 30 days previous written notice stating
the time and the place. Any special meeting should be given at least 10 days
prior notice, either written or verbal, to all concerned.
3.
A
majority number of NE USARS representatives present shall constitute a quorum
for the transaction of any business at regular or special meetings.

ARTICLE V
GOVERNMENT
1.
The
power of government shall be vested in an Executive Board of at least six
members. They shall include an elected: Chairman, Vice-Chairman of Artistic,
Vice-Chairman of Speed, a Treasurer, and a Secretary. (deleted Vice-Chairman of Hockey:Reason is there are now 16 regions for
hockey and the Northeast is split into 3 regions)
2.
Each
member of the Executive Board shall serve a term of two years, but may be re-elected without limitation. The term of
office shall run from September 1 to August 31, or until a successor has been
elected.
3.
The
officers at the time of their election into office and at all times in office
shall be a member in good standing in USARS and hold a current valid amateur
card or coaches card.
4.
The
Executive Board may appoint committees, as it deems necessary, and shall be
comprised of at least one representative from each state, to carry out
functions of the association. Any member of any club shall be eligible to serve
on such committees, and a member of the Executive Board shall be chairman of
each committee. If a member of the Executive Board is not re-elected or
resigns, he/she shall continue to serve as the committee chair for one year, to
provide a smooth transitional period.
5.
If
the office of Chairman is vacated, one of the Vice-chairman shall assume that
office for the unexpired portion of the term. A vote of the Executive Board
shall decide the chairman. An election shall be held to fill the vacant office
of Vice-Chairman at the next scheduled meeting. Any other vacancies may be
filled in a like manner.
6.
All
officers shall be elected by those eligible members present at the annual
meeting by a majority vote.
7.
Any
duly elected officer may be removed from office whenever it is the judgment and
in the best interest of the Region, by a two-thirds majority vote of the entire
membership present.
8.
The
Chairman shall be the principle executive officer of NE USARS and shall in
general supervise and control business and affairs. The chairman shall preside
at all meetings.
9.
The
Chairman shall appoint one of the Vice-chairman, in the event of the absence or
inability of the Chairman, to perform all duties of the Chairman in or acting.

10. The secretary shall keep
minutes of meetings in books provided for the purpose, see that all notices are
duly given in accordance with the by-laws as required, and be custodian of the
records on behalf of the NE USARS.
11. The treasurer shall have
charge and custody of and be responsible for all funds and securities of the NE
USARS. In addition, the Treasurer shall receive and give receipts for all
moneys due and payable and deposit all moneys in the name of NE USARS in such
banks, trust companies and other depositories as shall be designated.
12. The articles of this
constitution shall be in accordance with, and subject to the by-laws, the
general rules and amateur status of the parent USARS. On any points of
controversy the Constitution, by-laws and Rules and Regulations of USARS shall
prevail.
ARTICLE VI
INDEMITY
The
Northeast Region USARS shall indemnify any person serving or who may have
served as an officer, director or agent, committee member of this confederation,
or who is serving or may have served at the Northeast Region’s request, as an
officer, director, employee or agent of another corporation in which the
Northeast Region is a creditor, against expenses actually and reasonably
incurred by them in connection with any defense action, suit or proceeding,
civil or criminal in which they are made a party by reason of being or having
been an officer, employee or director of the Northeast Region USARS.
ARTICLE VII
AMENDMENTS
These
by-laws may be altered, amended, or repealed at any regular or special meeting,
upon proper notification of all members, by a vote of two-thirds of the members
present and voting.
